ESMS for non-bank lenders: five decisions a DFI will test on your files
An ESMS is five decisions, not a policy. A DFI reviewing a leasing, microfinance or factoring company will pick real files and check each decision was made, recorded and followed up.
Take the institution readiness test
The five gates
- Exclusion: is the activity on the IFC or EBRD exclusion list
- Categorisation: what is the E&S risk level of this deal
- Due diligence: for higher-risk deals, what was checked and by whom
- Covenants: what the borrower must do, written into the contract
- Monitoring: how the lender knows it was done
IFC Performance Standard 1 sets out the management system; EBRD Environmental and Social Requirement 9 sets what it expects of financial intermediaries. A board-approved policy writes the first gate. The other four live in procedures, tools and records.
What reviewers actually do
They sample files, including small ones, and look for the screening record, the category, the due diligence for higher-risk cases, the covenant and the monitoring trail. A gap on one file becomes an action plan item; gaps across the sample delay the line.
Built to fit a non-bank lender
Leasing, microfinance and factoring books are many small deals. The ESMS has to be light enough to run on every deal and strict enough to catch the few that matter: a short exclusion and category screen for all, and a due diligence trigger for the rest.

Questions
Is an ESMS required for a DFI credit line?
A working ESMS is usually a condition precedent to a first DFI line, and its reporting continues for the life of the line.
What standards does an ESMS follow?
Commonly IFC Performance Standard 1 and, for EBRD lines, Environmental and Social Requirement 9 for financial intermediaries, together with national law.
Does every deal need full due diligence?
No. Every deal is screened for exclusion and categorised; full due diligence is triggered for higher-risk categories.
